Terms and Conditions
	To be an authorized affiliate of the JobMatch Affiliate Program, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the JobMatch service as an affiliate. By signing up for the JobMatch affiliate program, you indicate your acceptance of this agreement and its terms and conditions. AFFILIATE AGREEMENT This agreement describes the terms and conditions for participation in the JobMatch LLC Affiliate Program. The terms "Affiliate," "you," and "your" are referring to you, the applicant. "We" and "our" refer to JobMatch LLC. “Affiliate Program” refers to the JobMatch LLC Affiliate & Referral Program. “Product” refers to the iApplicants Applicant Tracking System, and does not include any other 3rd party service or product that is marketed by JobMatch LLC. AGREEMENT DURATION This agreement will begin upon our acceptance of your affiliate application and will end when terminated by either party. Termination may happen at any time, with or without cause, by giving the other party written notice of termination. MODIFICATION By posting a Change Notice or a new agreement on this site, we may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available referral fees, fee schedules, payment procedures and Program rules. If any of the modifications are UNACCEPTABLE TO YOU, your only recourse is to terminate this Agreement. If you CONTINUE PARTICIPATION IN THE PROGRAM following the posting of a Change Notice or new agreement, it will be considered as your acceptance of the change. DIRECT SALE COMMISSIONS You will receive a commission for every lead that is generated through your Affiliate Site when that lead becomes a paying customer of iApplicants. For a sale to generate a commission to an Affiliate, the customer must complete a website lead form, remit full payment for the service ordered and have their installation completed. Direct sale commissions are paid on a monthly basis. ANNUAL RENEWAL & SUB AFFILIATE OVERRIDE COMMISSIONS You will receive a residual commission for every direct paying client you refer who renews their product agreement for an additional year after their first year. You will also receive override commissions for the paying clients of sub-Affiliates which you have sponsored into our Affiliate Program. Annual renewal and sub affiliate override commissions are paid on a quarterly basis. In order to qualify for renewal or sub affiliate commissions in any given quarter, an affiliate must personally earn at least 1 direct sale commission during that quarter, otherwise they will forfeit their renewal and override commissions for that quarter. COMMISSION AMOUNTS & PAYMENTS All commission amounts, including direct sales, renewals, and sub-affiliate overrides are based on the revenue received from the client. A direct sale commission will be paid in the amount of 20% of the first year revenue for all direct sales referred by an affiliate. Renewal commissions will be paid out in the amount of 20% for all client renewals after the first year. Override commissions will be paid in the amount of 5% for any direct sales generated by a sub-affiliate that you referred to our program. Commission payments are sent out within 30 days of the end of a reporting period and only sent out when your account has $100 or more of earned commissions. If you do not have $100 of earned commissions, they will be paid out at the next pay period when you have earned commissions. Any accounts that close without at least $100 of earned commissions will forfeit their account balance. Any returned checks, chargebacks, or fees from a cancelled order will be adjusted in the following fee payment. If no fee payment is due, a billing invoice for the amount due will be issued. Commissions can only be earned between the acceptance of the Affiliate application and notice of termination. ORDER PROCESSING JobMatch LLC will be solely responsible for working with and selling to every lead generated by a customer on the affiliate and sub-affiliate sites. Customers & leads generated through the Affiliate Program will be deemed to be customers of JobMatch LLC. Prices and availability of our products and services may vary from time to time. JobMatch LLC policies will always determine the price paid by the customer. We reserve the right to reject any order that does not comply with our rules, operating procedures and policies. WEBSITE RESTRICTIONS JobMatch LLC reserves the right not to accept any site into the Affiliate Program based on site content or for any other reason that is deemed to cause potential harm to our brand. Sites that Do Not Qualify for the Affiliate Program include sites that are: • X- rated and promote sexually explicit materials • Promoting violence and discord. • Promoting discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age • Promoting illegal or questionable activities • Violating intellectual property rights SPAM (UCE) Unsolicited Commercial E-mail – JobMatch LLC in no way participates in mass unsolicited e-mailing (i.e. spamming), and all Affiliates are expected to adhere to this policy as well. Violation of this policy will result in the termination of this contract and immediate dismissal from the JobMatch LLC Affiliate Program, with no refund and an immediate loss of all future and currently due commissions. RELATIONSHIP OF PARTIES We are independent parties and this agreement will not form any partnership, joint venture or employment agreement. As an affiliate you are an independent contractor and are responsible for your own government tax and other regulatory obligations. DISCLAIMER JobMatch LLC make no express or implied warranties or representations with respect to the Affiliate Program or your potential to earn income from the Affiliate Program. In addition, we make no representation that the operation of our site or the Affiliate Sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or down time. This Agreement will be governed by the laws of the United States and the State of Utah, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the Federal or State courts located in Utah, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. By submitting this Affiliate Agreement form, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement. *Please note that NO COMMISSION is paid on your original purchase. In other words, you cannot buy from yourself or be your first purchase for the sole purpose of discounting your own purchase. I have read the terms of this agreement and I accept.
